LINK PLACEMENT No links, banners or ads will be placed on any site that is in any way related to the following areas of content: Adult Entertainment Software Pirating (e.g. Warez) MP3 files / sites Hacking or Phreaking Any illegal activity whatsoever Any questionable or controversial subject matter RIGHT OF REFUSAL Accommodations Online, reserves the right to refuse any website, company, or individual as a member of the Accommodations Online Affiliate Program on any grounds whatsoever. TERMINATION Accommodations Online reserves the right to terminate any member's relationship with Accommodations Online Affiliate program for any reason whatsoever. Termination notice will be provided via e-mail and will be effective immediately. All legitimate moneys due to web publisher will be paid during the next billing cycle. CONTENT PROTECTION You guarantee that all content, products, and services on your website are legal to distribute and that you own or have the legal right to use any and all copyrighted material. INDEMNIFICATION Member irrevocably covenants, promises and agrees to indemnify Accommodations Online and to hold Accommodations Online harmless from and against any and all losses, claims, expenses, suits, damages, costs, demands or liabilities, arising from any and all claims and lawsuits for copyright, slander, libel, and trademark violation as well as all other claims resulting from member's or advertiser's web pages. AUTOMATIC RENEWAL This contract will renew automatically for successive periods and may be canceled by either party at any time for any reason by notification in writing via e-mail. REMEDY If any member violates or refuses to partake in their responsibilities, or commits fraudulent activity against us, Accommodations Online reserves the right to withhold payment and take appropriate legal action to cover its damages. COMMISSIONS Affiliates are provided an id number, which is trackable by Accommodations Online. All reservations that come from an affiliates website will earn the affiliate 40% commission of Accommodations Online's collected commissions. Accommodations Online usually receives the commission from each rental property 15-33 days after the client has checked out of the rental. Affiliates will then receive their commission on the 15th of every month. PAYMENT No checks will be issued for less than $ 50.00 per account and commissions due under $ 50.00 will forward to the next month. If you have more than one account, each account is evaluated independently. Payments will be made by the 15th of every month for the preceding month. No checks will be issued for any amounts less than $50 U.S.D. All non-issued earnings will rollover to the next pay period. Accommodations Online only pays on accrued reservations that have been paid for from the rental properties with a given 33 day period. Accommodations Online, in its sole discretion, reserves the right not to pay any accounts, members, or websites that violate any of the above terms and conditions. Accommodations Online will be responsible for determining what violates this policy and what does not. MODIFICATIONS Accommodations Online reserves the right to change any conditions of this contract at any time. Members are responsible for complying with any changes to the Web Publisher Terms and Conditions within 10 business days from the date of change. DISCLAIMER Accommodations Online Affiliate Program is provided on an "as is", as available basis. Accommodations Online gives no warranty, express or implied, for any and all services and products provided, including, but not limited to, warranty of merchantability and warranty of fitness for a particular purpose. This no warranty statement expressly includes any reimbursement for losses of income due to disruption of service by Accommodations Online or its upstream providers. CASE OF DISPUTE You agree to settle any dispute under this agreement via binding arbitration in the state of California. SEVERIBILITY If any provision of this agreement shall be held or made invalid or unenforceable by a court decision, statute, rule or otherwise, the remaining provisions of this agreement shall not be affected thereby and shall continue in full force and effect.
